موقع هاشتاغ – الرباط
أفرجت الأمانة العامة للحكومة عن مشروع قانون جديد من المرتقب أن يتم عرضه على اجتماع مقبل لمجلس الحكومة، يقضي بـ »تغيير وتتميم القانون رقم 15.95 المتعلق بمدونة التجارة »، والذي أعدته وزارة الصناعة والاستثمار والتجارة والاقتصاد الرقمي، لتنظيم نشاط توطين المقاولات، وتحديد شروط ممارسته، وحقوق والتزامات المتعاقدين.
ومنح مشروع القانون، الذي يتوفر موقع موقع هاشتاغ على نسخة منه ل »كل شخص ذاتي أو اعتباري أو أي فرع أو وكالة، إقامة مقر المقاولة في محلات تشغل بشكل مشترك مع مقاولة أو عدة مقاولات، شريطة أن يقدم عند طلب التسجيل في السجل التجاري أو عند التقييد التعديلي المتعلق بنقل المقر، حسب الحالة، عقد التوطين المبرم لهذا الغرض مع المالك أو المستأجر لهذه المحلات ».
ونص مشروع القانون ذاته على أن « الشركات وفروعها التي تقيم في نفس المحل الذي تمتلكه إحداها لا تكون ملزمة بإبرام عقد التوطين فيما بينها، وتقدم عند طلب التسجيل في السجل التجاري أو عند التقييد التعديلي المتعلق بنقل المقر، الموافقة الكتابية للشركة المالكة ».
كما ألزم مشروع القانون المذكور المُوَطَّنْ لديه بـ »وضع رهن إشارة الشخص المُوَطَّنْ محلات مجهزة بوسائل الاتصال، تتوفر على قاعة لعقد الاجتماعات، مع توفير محلات معدة لمسك السجلات والوثائق المنصوص عليها في النصوص التشريعية والتنظيمية الجاري بها العمل وتمكن من الحفاظ والاطلاع عليها، مع توفير و شدد مشروع القانون على ضرورة التأكد من هوية شخص المُوَطَّنْ لديه، ومن هوية الشخص المُوَطَّنْ »، وذلك « بطلب نسخة من وثيقة هوية الشخص الذاتي المُوَطَّنْ أو شهادة التقييد في السجل التجاري أو أي وثائق أخرى تسلمها السلطة الإدارية المختصة، تمكن من تحديد هوية الشخص المُوَطَّنْ »، كما أن المُوَطَّنْ لديه مطالب بـ »الالتزام بحفظ الوثائق التي تمكن من تحديد هوية الشخص المُوَطَّنْ لمدة 5 سنوات على الأقل بعد انتهاء علاقات التوطين ».
ومنع مشروع القانون « توطين الشركات التي تتوفر على مقر اجتماعي بالمغرب، كما منع كذلك على كل شخص ذاتي أو اعتباري اختيار أكثر من مقر للتوطين ».
أما بالنسبة لالتزامات المُوَطَّنْ، فقد حددها مشروع القانون في « التقيد بالتصريح لدى المُوَطَّنْ لديه، إذا تعلق الأمر بالشخص الذاتي، بكل تغيير في عنوانه الشخصي ونشاطه، وإذا تعلق الأمر بالشخص الاعتباري، التصريح بكل تغيير في شكله القانوني، وتسميته وغرضه وكذا أسماء وعناوين المسيرين والأشخاص الذين يتوفرون على تفويض من المُوَطَّنْ للتعاقد باسمه مع المُوَطَّنْ لديه، وتسليمه الوثائق المتعلقة بذلك ».
وشدد النص على أن المُوَطَّنْ مطالب بـ »إخبار المُوَطَّنْ لديه بأي نزاع محتمل أو أي قضية يكون المُوَطَّنْ طرفا فيها بشأن نشاطه التجاري »، كما أنه نص على وجوب أن يتقدم « كل شخص ذاتي أو اعبتاري يرغب في ممارسة نشاط التوطين قبل الشروع في مزاولة هذا النشاط بتصريح لدى الإدارة المختصة مقابل وصل »، وهو التصريح الذي « سيحدد مضمونه والوثائق الواجب إرفاقه بها بموجب نص تنظيمي ».
ووضع مشروع القانون شروطا لممارسة نشاط التوطين، حيث نص على أن « المُوَطَّنْ لديه يجب أن يثبت ملكية المحلات الموضوعة رهن إشارة الشخص المُوَطَّنْ أو التوفر على عقد كراء لهذه المحلات التجارية والتي لا تكون موضوع رهن أو حجز، أن يكون في وضعية سليمة تجاه إدارة الضرائب »، إلى جانب أن لا يكون قد « صدر في حقه حكم نهائي بسقوط الأهلية أو بالإدانة خلال خمس سنوات السابقة لتاريخ التصريح، بجنايات أو جنح، أو بأفعال إرهابية أو جرائم غسل الأموال أو الجرائم المتعلقة بنظام الصرف أو المخالفات الضريبية ».
وتوعد مشروع القانون كل شخص ذاتي أو اعتباري مارس نشاط التوطين دون القيام بالتصريح لدى الإدارة المختصة، بأداء غرامة من 10 آلاف إلى 20 ألف درهم »، كما نص على معاقبة كل « مُوَطَّنْ لديه » « لم يضع رهن إشارة المُوَطَّنْ محلات مجهزة بوسائل الاتصال، أو لم يمسك ملف عن كل شخص مُوَطَّنْ يحتوي على وثائق الإثبات فيما يخص العنوان والرقم الهاتفي أو رقم بطاقة التعريف الوطنية، بالغرامة ذاتها.
